GENERAL ASSEMBLY
The General Assembly is the supreme authority of the Union. It is composed of the Union’s members, with each educational institution represented by its president (director) or a delegate from among its council members or the body responsible for it. Each full member institution has one vote. A member may represent only one other member and vote on its behalf, provided the authorization is in writing.
The Assembly shall have the following powers:
1. Forming the Executive Council, defining its powers, and determining the number of its members.
2. Ratifying the following items after they have been approved by the Council:
- The Union’s general policy, strategy, and work plan for implementation.
- The Union’s annual general budget and final accounts.
- The internal regulations, bylaws, and instructions, or their amendments.
- Admission of educational institutions to Union membership, conversion of associate memberships to full memberships, suspension of memberships, termination, or reinstatement.
- Establishment of Union institutions, approval of their regulations, determination of their headquarters, or their cancellation or relocation.
3. Approval of amendments to the Union’s Statutes or suspension of their application.
4. Election of the Union’s Secretary-General from among candidates nominated by member institutions.
5. Formation of committees to study specific subjects within its jurisdiction.
6. Approval of the Union’s resource investment policy.
The Assembly shall convene once every year at the place and time determined in its previous meeting. Extraordinary sessions may be convened at the request of the General Secretariat with the approval of one-third of the members, or at the request of one full member institution with the approval of the majority of full members.
An Assembly meeting shall be legally valid if attended by the Secretary-General of the Union (or a written delegate) and a majority of full member institutions, excluding institutions that have failed to pay their Union dues for the past four consecutive years. If this quorum is not met, the meeting shall be postponed to the following day, where it shall be considered valid with at least 25% of the members mentioned above present. If the quorum is still not met, the Executive Council shall call for another meeting at a later date.
The Assembly shall be chaired by the president (director) of the host institution. The Assembly shall also elect two vice-presidents and a general rapporteur.
Assembly resolutions shall be adopted by a majority vote of the attending members, except for amendments to the Statutes or suspension thereof, which require a two-thirds majority of the attending members.
